Position Title: Legal Counsel
Job Location: Beijing
Report to: Corporate Legal Director
1. OBJECTIVE OF THE JOB
Achieve and maintain a high level of competence within the field of PRC commercial law and assist the company Greater China in such matters. Same level of assistance should be provided to with a high level of competence within the filed of general commercial law.
2. RESPONSIBILITY
The responsibilities of the Legal Counsel are to:
- Ensure that legal requirements for The company's operations in Greater China are fulfilled;
- Handle legal matters with such competence and in such manners that the commercial objectives (e.g. Profitability) are fulfilled in each case and unmotivated losses are avoided;
- Protect the company's investments in Greater China (including wholly The company owned companies, joint ventures, technology, know-how and marketing) and avoid undue restrictions when receiving information etc. From others; and
- Ensure that PRC legislation which may affect The company's activities in PRC is made known within the organization and work for that necessary adaptations with reference thereto are made by The company Greater China.
3. AUTHORITY
- The Legal Counsel shall independently and with integrity handle the matters mentioned herein except for matters of policy character and major importance for the company Greater China, which shall be supervised by the Head of Legal Affairs.
- The Legal Counsel shall in the below matters work under the supervision of the Head of Legal Affairs.
4. MAIN WORK TASKS
- Draft contracts.
- Translate or supervise translation of legal documents from English to Chinese and vice verse.
- Assist in contract negotiations.
- Interpret existing contracts and PRC legislation.
- Provide general legal advice on PRC legal matters and in general commercial law context.
- Monitor and inform about new relevant PRC legislation.
- Establish and maintain good contacts with relevant governmental authorities.
- Coordinate litigation activities.
- Handle contacts with external legal advisers.
5. REQUIREMENTS OF COMPETENCE
- Master of Laws from a PRC university or a Bachelor of Laws from a PRC university and adequate working experience.
- Fluent English.
- International experience and cultural awareness.
