Hi:
I have gained a lot of knowledge from both techbull and LangXie. So I feel I should contribute too.
I have been working for a VC firm in U.S for a while. We are just starting to look at some chinese private placement deals.
Based on my own experience, founders typically negotiate among themselves about shares. However from an VC perspective, we want to see a clean balance sheet from a potential investment. We do not want to see some complicated accounting gymnastics. For example, a company short of cash started to pay employees with stock options. I had to spend a week figuring out the magnitude of possible dilution from this. In that case, I would rather see the CEO puts all the owed salary into salary payables.
Management team is very important when we evaluate a team. However, an active board with well-known names is also important. Board meeting for a start-up is not a luxuary. One point in a term sheet that is alway negotiated heavyly is board structure. We want to control the company after investment is made. On a side note, how to control a local chinese company remains a big problem for u.s vcs. I welcome and appreciate anyone to post their thoughts.
